Acceptance
By accessing or using the Hapo platform (available at gethapo.com and any associated sub-domains), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms form a legally binding agreement between you and Hapo Technologies Limited ("Hapo", "we", "us", or "our").
If you do not agree to these Terms, you must not access or use the platform. We may update these Terms from time to time — continued use after notice of a change constitutes your acceptance of the revised Terms.
You must be at least 18 years old and legally capable of entering into binding contracts under Ghanaian law to use Hapo as a service professional. Clients booking through a professional's page confirm they are at least 18 years old.
The service
Hapo is an online booking platform that enables independent service professionals in Ghana ("Professionals") to offer their services for appointment-based bookings and to collect advance deposits from clients to reduce no-shows.
Hapo provides the technology infrastructure — scheduling tools, deposit collection, confirmation and reminder communications, and a dashboard for Professionals to manage their business. Hapo is a technology intermediary only: we are not a party to any service agreement between a Professional and their client, and we do not provide the underlying services (haircare, photography, coaching, etc.) ourselves.
Advance deposits and how money is held
When a client books an appointment through Hapo, a deposit is charged to the client's payment card at the time of booking. Deposit amounts are set by the Professional within the limits permitted by the platform.
Deposits are processed and held by our payment partner, Paystack Inc., on behalf of Hapo. After a confirmed appointment takes place, the net deposit amount (after Hapo's platform fee) is released to the Professional's payout account within the disbursement period specified in the platform policies (typically within 2–5 business days).
Hapo is not a bank, e-money institution, or financial intermediary. Deposits are transaction proceeds collected by Paystack on behalf of the Professional; they are not deposits in the regulatory sense and earn no interest.
Acceptable use
You may use Hapo only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the platform to offer or procure any service that is illegal under Ghanaian law.
- Impersonate any person or entity, or misrepresent your identity, qualifications, or affiliation.
- Submit false, misleading, or fraudulent information — including fake bookings, reviews, or payment details.
- Use automated tools (bots, scrapers, crawlers) to access, extract, or reproduce platform content without our prior written consent.
- Attempt to reverse-engineer, decompile, or disassemble any part of the platform.
- Transmit viruses, malware, or any code designed to disrupt, damage, or gain unauthorised access to systems.
- Harass, threaten, or abuse other users through the platform's messaging or communication features.
- Use the platform to process payments for goods or services outside a legitimate booking — including using Hapo as a general payment collection tool.
- Circumvent any technical measures that control access to or protect the platform.
Hapo reserves the right to suspend or terminate accounts found to be in breach of this section without prior notice.
Intellectual property rights
The Hapo name, logo, platform software, design, text, graphics, and all other content produced by Hapo are owned by or licensed to Hapo Technologies Limited and are protected by copyright, trademark, and other intellectual property laws of Ghana and applicable international conventions.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for its intended purpose — managing or booking appointments. No other right or licence is granted by implication, estoppel, or otherwise.
Your content. Content you upload to Hapo (profile photos, service descriptions, portfolio images) remains yours. By uploading it, you grant Hapo a worldwide, royalty-free licence to display and reproduce that content solely for the purposes of operating the platform and, where you have opted in, for promotional use. You warrant that you own or have the necessary rights to any content you upload, and that it does not infringe the intellectual property rights of any third party.
You must not reproduce, distribute, modify, or create derivative works from Hapo's intellectual property without our express written permission.
Payment and refund terms
Payment processing
All payment processing is handled by Paystack Inc. By making or receiving payments through Hapo, you also agree to Paystack's Terms of Service and applicable Paystack policies. Hapo does not store payment card details; these are held by Paystack in accordance with PCI-DSS requirements.
Platform fee
Hapo deducts a platform fee from each deposit disbursement before paying out to the Professional. The current fee schedule is published on our Pricing page and may be updated with reasonable notice.
Refunds to clients
A client is entitled to a full refund of their deposit in the following circumstances:
- The Professional cancels the confirmed appointment.
- The client cancels within the refund window defined in the platform policies (currently 48 hours before the appointment start time, subject to change).
- Hapo determines, at its sole discretion, that an exceptional circumstance warrants a refund.
Forfeiture
A client's deposit is forfeited (i.e., released to the Professional) in the following circumstances:
- The client fails to attend the appointment without prior cancellation (no-show).
- The client cancels outside the refund window.
Refunds are processed via Paystack back to the original payment method and typically appear within 5–10 business days, depending on the client's card issuer.
Chargebacks
If a client initiates an unauthorised chargeback with their bank, Hapo may deduct the chargeback amount and any associated fees from the Professional's account or future disbursements. Professionals must cooperate with Hapo in responding to chargeback disputes.
Professional responsibilities
Professionals who use Hapo to offer and manage bookings agree to:
- Provide accurate and up-to-date information about their services, availability, location, and pricing.
- Honour all confirmed bookings unless genuinely unable to do so, in which case cancel with maximum notice and trigger a full refund for the client.
- Respond to client communications through the platform promptly and professionally.
- Comply with all applicable Ghanaian laws, including licensing, consumer protection, health and safety, and tax obligations relevant to their trade or profession.
- Maintain any professional licences, certifications, or insurance required for their services and provide evidence of these to Hapo on request.
- Not use Hapo to collect payment for services they do not intend to provide.
Hapo does not verify the qualifications or licences of Professionals. Clients are encouraged to conduct their own due diligence before booking.
Account termination
Termination by you
Professionals may close their Hapo account at any time by contacting us at hello@gethapo.com. Before closing your account, you must fulfil or cancel all pending and upcoming bookings and resolve any outstanding balance. Deposits already collected for confirmed future bookings will be refunded to clients upon account closure.
Termination by Hapo
Hapo may suspend or permanently terminate your account, with immediate effect and without prior notice, if:
- You breach any provision of these Terms.
- We have reasonable grounds to suspect fraudulent, abusive, or unlawful activity.
- Continued operation of your account presents a risk to other users, Hapo, or third parties.
- We receive a valid court order or directive from a competent Ghanaian authority requiring us to do so.
Where suspension or termination is not due to your breach, we will give reasonable notice where practicable. Any outstanding disbursements owed to a Professional will be settled within a reasonable period after confirmed bookings have been fulfilled or refunded.
Effect of termination
On termination, your right to access and use the platform ceases immediately. Sections of these Terms that by their nature survive termination (including intellectual property, limitation of liability, and dispute resolution) remain in force.
Limitation of liability
Platform intermediary. Hapo provides technology infrastructure only. We are not responsible for the quality, safety, legality, or delivery of any service provided by a Professional, nor for the conduct of clients.
Cap on liability. To the maximum extent permitted by Ghanaian law, Hapo's total liability to you for any claim arising out of or in connection with these Terms or your use of the platform — whether in contract, tort (including negligence), or otherwise — shall not exceed the total fees paid by you to Hapo in the twelve (12) months immediately preceding the event giving rise to the claim.
Excluded losses. Hapo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, however caused and on any theory of liability, even if Hapo has been advised of the possibility of such damages.
Third-party services. The platform integrates with third-party services, including Paystack for payments. Hapo is not liable for any failure, error, or act or omission of any third-party provider.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
Dispute resolution
Between professionals and clients
Hapo is not a party to disputes between Professionals and their clients. We may, at our discretion, provide a facilitated resolution process for deposit disputes (e.g. a no-show where facts are contested). Our decision in such cases is final and binding on both parties for the purpose of releasing held funds.
Between you and Hapo
If a dispute arises between you and Hapo, both parties agree to first attempt to resolve it informally by contacting us at hello@gethapo.com. We will endeavour to respond within 14 business days.
If the dispute is not resolved informally within 30 days, either party may refer the matter to mediation administered by the Ghana Arbitration Centre, before commencing litigation. Mediation proceedings shall be conducted in Accra, Ghana, in the English language.
Nothing in this section prevents either party from seeking urgent injunctive or declaratory relief from a court of competent jurisdiction.
Governing law (Ghana)
These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Ghana.
Subject to the dispute resolution section above, each party irrevocably submits to the exclusive jurisdiction of the courts of Ghana to settle any dispute or claim arising out of or in connection with these Terms.
Changes to these terms
Hapo may revise these Terms at any time. When we make material changes, we will notify registered Professionals by email and update the "Last updated" date at the top of this page. We will provide at least 14 days' notice of material changes before they take effect.
Your continued use of the platform after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the platform and may close your account.
